You represent that you are over the age of 18. MavenChain does not permit minors to use Our Services.

You agree to defend, indemnify, and hold MavenChain harmless against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) use of our Site; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overtly harmful act toward any other User of MavenChain with whom you connected via the Site. MavenChain reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. Additionally, you agree to cooperate, at your expense, with our defense of such claims. We will use all reasonable efforts to notify you of any such claim or proceeding which is subject to this indemnification upon becoming aware of it.
Site Management
We reserve the right, but are not obligated to: (1) monitor Our Site for violations of these Terms of Service; (2) take appropriate legal actions against anyone who, in our opinion, violates the law or these Terms of Service; (3) to refuse, restrict access to, or disable Your use of our Site and/or Service; and (4) otherwise manage Our Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.
Governing Law
These Terms of Service and your use of the Site are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts applicable to agreements made and to be entirely performed within the Commonwealth of Massachusetts.
Disputes Resolution
- Binding Arbitration
If the parties are unable to resolve a Dispute through informal discussions, the Dispute, excluding those expressly stated below, will be exclusively resolved by binding arbitration. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA’s website: www.adr.org. Your arbitration fees and share of arbitrator compensation will be split between parties. All fees shall be governed by the AAA Consumer Rules, and where appropriate, limited by the AAA Consumer Rules.
The arbitration itself may be conducted in person, through the submission documents, or by phone. The arbitrator will decide in writing but is not required to provide an explanation unless requested by either party. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Massachusetts. If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Massachusetts. The parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in which state and federal courts.
In no event shall any dispute by either party related in any way to the Site be commenced more than Three (3) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any dispute falling within the portion of this provision found to be illegal or unenforceable. Instead, such dispute shall be decided by a court of appropriate jurisdiction and the parties agree to submit to the personal jurisdiction of that court.
- Restrictions
The parties agree that any arbitration shall be limited to the dispute between the parties individually. To the full extent permitted by the law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right for any dispute to be brought in a representative capacity on behalf of any other persons or the public.
- Exceptions to Arbitration
The parties agree that the following disputes are not subject to the above provisions pertaining to binding arbitration: (a) any disputes seeking to enforce any intellectual property rights of a party; (b) any dispute related to allegations of theft, piracy, invasion of privacy, or unauthorized use; (c) any claim for injunctive relief. If this provision is found to be unenforceable, then neither party will elect to arbitrate any dispute contained in that portion found to be unenforceable. Such disputes shall be decided by a court with appropriate jurisdiction and the parties agree to submit to the personal jurisdiction of that court.
Electronic Communications, Transactions, and Signatures
You consent to receive electronic communications, and you agree that all agreements, notices, and other communications MavenChain provides to you electronically, via email, text, and on the Site satisfy any legal requirement that such communication be in writing.
For European Union (EU) Users
If you are a European Union User, you will benefit from any mandatory provisions of the law of the country in which you reside.
United States Legal Compliance
You represent and guarantee that (a) You are not located in a country that is subject to an embargo by the United States government, or that has been designated by the United States government as a “terrorist supporting” country, and (b) You are not on any United States government list of prohibited or restricted parties.
Severability and Waiver
- Severability
If any provision of these Terms of Service is found to be enforceable, such provision will be interpreted, and subsequently changed, to accomplish the objectives of such provision to the greatest extent possible under applicable law. As such, the provision will continue in full force and effect.
- Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation included in these Terms of Service shall not affect a party’s ability to exercise such right or require such performance at any time. This shall not constitute a waiver of a breach.
Translation Interpretation
These Terms of Service may have been translated from English if We have made them available to You to use our Service. You agree that the original English text shall prevail in case of a dispute.

Changes to These Terms and Conditions
MavenChain reserves the right, at Our sole discretion, to modify or replace any of the Terms of Service at any time. What constitutes a material change will be determined at MavenChain’s sole discretion.
